Terms of Service

Version: 2026-08 · Last updated: 24 August 2026

These are Aveniqra's standard business terms. A negotiated order form or statement of work may vary specific commercial terms. Nothing here excludes liability or rights that cannot lawfully be excluded.

Legal review status

These terms are a startup-stage draft and must be reviewed by qualified commercial counsel before Aveniqra relies on them for material production contracting. Enforceability varies by customer type, jurisdiction and negotiated order form.

1. Business Agreement

These Terms govern access to and use of Aveniqra (the “Service”). The Service is offered for business and professional use, not personal or household use. If you use the Service for an organisation, you represent that you have authority to bind that organisation. Any order form, checkout terms, statement of work, End User Licence Agreement, data processing agreement, security schedule or other written commercial terms agreed with Aveniqra form part of the agreement. If there is a conflict, a specifically negotiated order form or statement of work takes precedence for the matter it addresses; the Terms then govern the general commercial relationship, while a DPA controls a conflict specifically concerning processor obligations and the EULA controls software-licence matters only where it does not conflict with these Terms or a negotiated document.

2. Service and Changes

Aveniqra provides controlled data-ingestion, transformation, validation, reconciliation, routing, integration and audit capabilities. We may improve, replace or discontinue features where reasonably necessary for security, reliability, legal compliance or product development. We will not intentionally make a material reduction to paid core functionality during a committed subscription term without reasonable notice, except where required for security, law or a third-party dependency.

3. Accounts and Authority

You are responsible for ensuring that account information is accurate, that only authorised users access your tenant, and that credentials, connected accounts and approval permissions are managed appropriately. You must promptly disable access for people who no longer require it and notify us of suspected compromise. Actions performed through authorised accounts may be treated as authorised instructions unless we know or reasonably should know otherwise.

4. Customer Data and Instructions

You retain your rights in Customer Data. You grant Aveniqra the limited rights necessary to host, copy, transform, transmit and otherwise process Customer Data to provide, secure and support the Service. You are responsible for having the rights, notices, lawful bases and permissions required for Customer Data and for instructions you give us. You must not instruct Aveniqra to process data or perform an integration action that would violate law, contract or third-party rights.

5. Validation, Automation and Human Review

Aveniqra is designed to validate data and route uncertainty to review rather than silently guess. Automated, AI-assisted or extracted results may still contain errors. You remain responsible for configuring appropriate approval thresholds and reviewing outputs before relying on them for material legal, financial, safety-critical or irreversible decisions. Aveniqra is not legal, tax, accounting, medical or investment advice and does not replace professional review where it is required.

6. Third-Party Services and Integrations

The Service may connect to third-party products such as email, CRM, accounting, ERP, payment, sales and social platforms. Your use of those services remains subject to their own terms, permissions, limits and availability. Aveniqra is not responsible for a third party changing or withdrawing an API, restricting an account, changing pricing, suffering an outage, or rejecting an action, although we will use reasonable efforts to handle integration failures safely.

7. Acceptable Use and Restricted Data

You must comply with the Acceptable Use Policy. Unless expressly agreed in writing, you must not use the Service for unlawful surveillance, malware, credential theft, sanctions evasion, regulated high-risk activity, or to process special-category, criminal-offence, payment-card, health or other highly regulated data where the required contractual, technical or regulatory controls have not been agreed and enabled.

8. Fees, Taxes and Payment

Where paid services are ordered, fees, billing frequency and included usage are set out in the applicable order form or checkout. Fees are exclusive of taxes unless stated otherwise. You are responsible for taxes properly chargeable to you, except taxes on Aveniqra’s income. We may suspend paid functionality for overdue undisputed amounts after reasonable notice. Refunds, credits and cancellation rights are governed by the applicable order form and any mandatory law that cannot be excluded.

9. Confidentiality

Each party may receive non-public information that is confidential by nature or designation. The receiving party will use confidential information only for the agreement, protect it using reasonable care, and disclose it only to personnel and service providers who need it and are subject to appropriate duties. These obligations do not apply to information that is lawfully public, already known without restriction, independently developed, or lawfully received from another source. Legally compelled disclosure is permitted subject to notice where lawful.

10. Intellectual Property

Aveniqra and its licensors retain all rights in the Service, software, documentation, models, workflows and platform technology. No ownership of Customer Data transfers to Aveniqra. If you provide feedback, you grant Aveniqra a non-exclusive, worldwide, royalty-free right to use it to improve the Service without identifying you or disclosing your confidential information.

11. Security and Data Protection

Aveniqra will maintain technical and organisational measures appropriate to the nature of the Service and the risks of the processing. Where Aveniqra processes personal data on your behalf as processor, the Data Processing Agreement applies. Security documentation describes controls and architecture; it does not represent an external certification unless we expressly state that the certification has been obtained.

12. Suspension

We may suspend access where reasonably necessary to address a security incident, unlawful use, material breach, non-payment, risk to other customers or infrastructure, or a legal requirement. Where practicable, we will limit a suspension to the affected functionality and provide notice and an opportunity to remedy the issue.

13. Termination

Either party may terminate as allowed by the applicable order form. Either party may terminate for a material breach that is not cured within a reasonable cure period after written notice, or immediately where cure is not possible. On termination, access ends and Customer Data will be returned or deleted in accordance with the DPA, retention policy and applicable law. Provisions that by their nature should survive termination continue to apply.

14. Warranties

Each party warrants that it has authority to enter the agreement. Aveniqra will provide paid services with reasonable care and skill. Except for express commitments in the agreement and to the maximum extent permitted by law, the Service is provided without implied warranties, conditions or representations, including as to uninterrupted availability, error-free operation, or fitness for a particular purpose. Nothing in these Terms excludes rights that cannot lawfully be excluded.

15. Limitation of Liability

Nothing in the agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited. Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business opportunity or goodwill, to the extent such loss may lawfully be excluded. Aveniqra’s aggregate liability arising out of or in connection with the Service in any twelve-month period will not exceed the fees paid or payable for the Service giving rise to the claim during the preceding twelve months; where no fees were paid or payable, the cap is £100. Any limitation is intended to apply only to the extent it is fair, reasonable and enforceable under applicable law.

16. Indemnities

You are responsible for Customer Data, destination credentials, connected accounts and instructions supplied by you. To the extent permitted by law, you will indemnify Aveniqra against third-party claims arising from Customer Data or instructions that unlawfully infringe another person’s rights, or from your deliberate unlawful use of the Service, except to the extent the claim was caused by Aveniqra’s breach, negligence or misconduct. Subject to the liability limits and exclusions that lawfully apply, Aveniqra will defend a third-party claim that the unmodified Aveniqra Service, when used as authorised under the agreement, infringes that third party’s intellectual-property rights, and will pay damages or settlement amounts finally awarded or agreed by Aveniqra for that claim. This IP indemnity does not apply to claims caused by Customer Data, customer specifications, third-party integrations, combinations not supplied by Aveniqra, unauthorised modification or continued use after Aveniqra provides a non-infringing replacement or workaround. Each indemnity is conditional on prompt notice, reasonable cooperation and the indemnifying party controlling the defence and settlement, provided no settlement admits fault or imposes non-monetary obligations on the indemnified party without consent.

17. Service Levels and Service Credits

No service-level commitment applies unless it is expressly stated in an order form or SLA signed or otherwise agreed by Aveniqra. Any uptime calculation must use the measurement method, service boundary and exclusions stated in that SLA. Unless mandatory law or a negotiated agreement requires otherwise, scheduled maintenance, customer systems, customer configuration, third-party provider failures, force-majeure events, misuse, security-related suspension and beta or preview features are excluded from SLA measurements. Where an SLA provides service credits, those credits are the customer’s sole and exclusive monetary remedy for the specific SLA failure, without limiting rights that cannot lawfully be restricted.

18. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, provided it takes reasonable steps to reduce the effect and resumes performance when practicable. This does not excuse payment obligations for services already provided.

19. Compliance

Each party will comply with laws applicable to its performance under the agreement. You must not use the Service in violation of applicable sanctions, export controls, anti-bribery rules, data-protection law or intellectual-property law.

20. Notices and Changes to Terms

We may update these Terms to reflect legal, security or product changes. Material changes affecting existing paid customers will be notified through the Service, account email or another reasonable channel. Changes do not retroactively alter accrued rights. Contractual notices may be sent through the contact details associated with the account or as stated in an order form.

21. General

The agreement is the entire agreement about the Service and replaces prior discussions on the same subject. A failure to enforce a right is not a waiver. If a provision is unenforceable, the remainder continues in effect. You may not assign the agreement without our consent except as part of a genuine corporate reorganisation or sale of substantially all relevant assets. Aveniqra may assign the agreement as part of a reorganisation, financing or sale of the business, subject to continued protection of Customer Data.

22. Governing Law and Courts

Unless an order form states otherwise, the agreement and any non-contractual obligations arising from it are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights or jurisdiction rules that cannot lawfully be excluded. Arbitration or another private dispute-resolution process applies only if the parties expressly agree it in writing for the relevant contract.

23. Contact and Provider Details

Contract and legal enquiries can be submitted through our contact page. The service-provider identity and required business contact information are published in our Legal Notice.
