End User Licence Agreement

Version: 2026-08 · Last updated: 24 August 2026

Business software licence

This EULA is drafted for Aveniqra’s business SaaS model and should be reviewed together with the Terms, DPA, order form and actual operator details before material commercial contracting. It does not attempt to waive statutory rights that cannot lawfully be excluded.

1. Scope and relationship to the Terms

This End User Licence Agreement (“EULA”) governs the limited licence granted to authorised business users to access and use Aveniqra software, interfaces, documentation and related materials. It supplements the Terms of Service, any applicable order form, statement of work, Data Processing Agreement and Acceptable Use Policy. If there is a conflict, a specifically negotiated order form or statement of work takes precedence for the matter it addresses, followed by the Terms of Service, then this EULA.

2. Licence grant

Subject to the applicable agreement, payment of fees where required, and continued compliance with these terms, Aveniqra grants the customer and its authorised users a limited, non-exclusive, non-transferable and non-sublicensable right during the subscription or authorised access period to access and use the Service for the customer’s internal business purposes. The Service is licensed, not sold. No source-code ownership, copyright, trade mark, patent, database right or other intellectual-property ownership is transferred.

3. Authorised users and account control

Access is limited to authorised users acting for the customer. The customer is responsible for user administration, role assignment, connected-system permissions and promptly removing access that is no longer required. Credentials and access tokens must not be shared except through an approved organisational authentication or secrets-management process.

4. Permitted use and restrictions

You may use the Service only as authorised by the applicable agreement and law. Except to the extent a restriction is prohibited by applicable law, you must not copy the Service except as technically necessary for authorised use; sell, rent, lease, sublicense or provide the Service as a standalone service bureau; circumvent access, usage, tenant or security controls; remove proprietary notices; use the Service to develop malware or unlawful surveillance capability; or attempt to obtain source code by reverse engineering, decompilation or disassembly. Nothing in this clause restricts a lawful user from exercising a statutory right that cannot validly be excluded, including any narrowly applicable right to decompile or observe software for interoperability or other purposes permitted by law.

5. Customer Data and outputs

Customer Data remains owned by the customer or relevant rightsholder. The customer grants Aveniqra only the rights reasonably necessary to receive, host, reproduce, transform, validate, transmit, secure, back up and otherwise process Customer Data to provide and support the Service. Automated or AI-assisted output is not guaranteed to be unique, complete, accurate or free from third-party rights. The customer remains responsible for reviewing output before consequential use and for ensuring it has the necessary rights, licences, notices, lawful bases and permissions for content submitted to or distributed from the Service.

6. Aveniqra intellectual property

Aveniqra and its licensors retain all rights in the Service, software, interfaces, documentation, workflow designs, platform technology, branding and other Aveniqra materials, including modifications and improvements that do not consist of Customer Data or customer confidential information. Feedback may be used to improve the Service on a non-exclusive, worldwide and royalty-free basis without identifying the customer or disclosing its confidential information.

7. Open-source and third-party components

The Service may contain or depend on third-party or open-source components. Those components remain subject to their applicable licences and notices. Where an open-source licence gives you rights that conflict with this EULA, the open-source licence governs the relevant component to the extent of that conflict. Third-party integrations and services remain subject to their own terms, permissions, limits and availability.

8. Subscription, payment and entitlement

A paid licence is effective only for the plan, tenant, users and period authorised by the applicable order form, checkout or billing record. Aveniqra may use verified billing and subscription status to grant, limit, suspend or remove paid functionality. A payment attempt, receipt, invoice or test transaction does not by itself create an entitlement unless the applicable agreement and Aveniqra’s verified billing records show that access is authorised.

9. Security and acceptable use

You must not attempt to bypass authentication, tenant isolation, rate limits, approval gates, audit controls, malware scanning, validation controls or other security measures. Security testing against Aveniqra requires prior written authorisation unless an applicable vulnerability-disclosure policy expressly permits the testing. Use of the Service remains subject to the Acceptable Use Policy and applicable law.

10. Updates, availability and beta features

Aveniqra may update the Service to improve functionality, reliability, security, interoperability or legal compliance. No particular feature, interface or third-party integration is guaranteed to remain unchanged unless the applicable order form expressly says otherwise. Beta, preview, evaluation and sandbox features may be changed or withdrawn and are not covered by production service levels unless expressly agreed.

11. Confidentiality and telemetry

Non-public software, documentation, security information and customer information may be confidential under the Terms or another agreement. Aveniqra may collect service telemetry, security events and operational metadata as described in the Privacy Policy and applicable DPA. Customer pipeline content is not licensed for general AI-model training unless expressly agreed.

12. Suspension and termination

The licence may be suspended or terminated where the underlying agreement ends, payment entitlement expires, access presents a material security risk, there is material breach, unlawful use or another suspension ground stated in the Terms. On termination, you must stop using the Service and any locally supplied proprietary materials, subject to lawful data-export and return rights under the applicable agreement and DPA.

13. Warranties, liability and statutory rights

Warranties, disclaimers, indemnities and limitations of liability are governed by the Terms of Service and any negotiated agreement. Nothing in this EULA excludes or limits liability or statutory rights that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation where applicable.

14. Export, sanctions and regulated use

You must not use, export, re-export or provide access to the Service in violation of applicable sanctions, export-control, anti-bribery or other trade-control laws. Regulated or high-risk processing may require additional contractual, security and compliance controls before use is authorised.

15. Governing law and contact

Unless a negotiated agreement states otherwise, this EULA is governed by the laws of England and Wales and disputes are subject to the courts identified in the Terms of Service, subject to any mandatory rights that cannot lawfully be excluded. Legal and licensing enquiries may be submitted through the Aveniqra contact page. The current service-provider identity and contact information are published in the Legal Notice.
